Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the Clovex website and the professional services provided by Clovex, including but not limited to Microsoft 365 consulting, Dynamics 365 implementation, Business Central solutions, Power Platform development, Azure & AI services, and Legacy ERP support (AX, NAV, GP). By accessing our website or engaging our services, you agree to comply with and be bound by these Terms.

Clovex provides technology consulting and implementation services under mutually agreed proposals, Statements of Work (SOW), Master Service Agreements (MSA), or formal contracts. In case of any conflict between these Terms and a signed agreement, the signed agreement shall prevail.

Scope of Services

Our services include ERP implementation, cloud migration, system upgrades, automation development, integrations, support, and advisory services. The scope, timelines, deliverables, and responsibilities for each engagement are defined in the respective project documentation. Any work outside the agreed scope may require additional approvals and commercial adjustments.

Clients are responsible for providing accurate business requirements, system access, necessary licenses, and timely approvals to ensure successful project execution. Delays caused by incomplete information, restricted access, or third-party dependencies may impact delivery timelines.

Intellectual Property

All pre-existing methodologies, tools, frameworks, documentation templates, and proprietary knowledge used by Clovex remain the intellectual property of Clovex unless otherwise agreed in writing. Custom developments and configurations created specifically for a client shall be governed by the terms defined in the respective service agreement.

Clients shall not reproduce, distribute, or commercially exploit any proprietary materials provided by Clovex without prior written consent.

Confidentiality & Data Protection

Clovex acknowledges that client information, system data, business processes, and technical documentation are confidential. We commit to maintaining strict confidentiality and implementing appropriate security controls in line with industry standards. Access to client information is limited to authorized personnel directly involved in service delivery.

Clients are responsible for maintaining backups and ensuring compliance with applicable data protection laws. While Clovex follows best practices, we are not liable for data loss resulting from external cyber threats, third-party failures, or client-side misconfigurations outside agreed scope.

Limitation of Liability

Clovex provides services with professional diligence and in accordance with industry best practices. However, Clovex shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, revenue, or business interruption, arising from the use of our services.

Liability, where applicable, shall be limited to the value of the specific service engagement as defined in the signed agreement.

Third-Party Services

Clovex may integrate or work with third-party platforms such as Microsoft, Azure services, payment gateways, eCommerce systems, or external APIs. We are not responsible for outages, licensing changes, policy updates, or disruptions caused by third-party providers.

Modifications to Terms

Clovex reserves the right to modify these Terms at any time. Updates will be reflected on this page, and continued use of our website or services constitutes acceptance of the revised Terms.
